Upon due notice given and received, the General Session of the Board of Directors of the Venturanza Del Verde Community Association was held by

The Venturanza Del Verde General Session meeting was called to order at
6:01 pm by Ramin Rezaei, President.

There was one (1) homeowner in attendance.

Homeowners Topics Included:

2010 Ballesteros area - Pagodas in common area garden planter have been
replaced with kelly green fixture. Who authorized the change in fixture color
to bright green.

Action Item: Inquire with Peak Lighting about the different colored pagoda in the planter area outside of 2010 Ballesteros.

Inquiry about gutter inspection quotes with pictures– should have proposals
by March meeting.

Action Item: Solicit gutter proposals with picture to be presented to the Board at the March
meeting.

Architectural Application
2861 Ballesteros - Window installation discussed – denied until further
information received.

Action Item: Kimber to connect with Ronna and will forward all additional information
pertaining to 2861 Ballesteros window installation – need location of install and neighbor sign offs.

An Executive Session was held immediately following the General Session to discuss legal matters, discussion of formulation of third-party contracts, member requests and/or member discipline.

Review of the January 31, 2023 General Minutes
A motion was made, seconded, and moved to approve the General Session
Minutes of January 31, 2023, as written.

Review of December 31, 2023 Financial Report
A motion was made, seconded, and moved to tabled the December 31, 2023
Financial Report, as submitted, subject to audit.

Tutorial scheduled regarding financials:
February 20, 2023

Action Item: Set up Zoom connection and forward the December Financials, Annual Budget


Awnings
This project is currently in process. The awning fabric is to arrive to the
vendor in 3 weeks approximately. Additional of a weight bar is an option.

Action Item: Kimber to get individual cost for weight barring bar for awnings that make noise in the wind.

Landscape Plantings
Board to further discuss plantings with landscape contractor, still in process –
this item was delayed.

Common Area Maintenance
Crack in stucco noted at Ronna’s unit.

Eblast Community
No large items to be disposed of in the dumpster area.
Dispose of used doggie bags immediately

*Heat pool on Memorial Day weekend.

Summer Kick Off - Ice Cream Social
Saturday, June 3, 2023 – More to Come

*Food truck suggested as an event.

Maintenance Reports, Calendars, and Maps
All reports, work orders, calendars, and vendor correspondence were
reviewed by the Board of Directors. Patrol report reviewed.

Management recommends that The Board of Directors follow best business
practices with regard to contracts, seek legal counsel to review all contracts,
and provide input and/or association legally generated corresponding contract
in order to safeguard the association. In addition, legal counsel is suggested to
limit liability.

The Business Judgment Rule is set forth in the California Corporations Code
and requires a director to perform his or her duties (1) in "good faith", (2) in a
manner he or she believes is in the corporation's best interest, and (3) with
such care, including "reasonable inquiry", as an ordinarily prudent person in a
like position would use under similar circumstances.

The Venturanza Del Verde Community Association is a California Non-
Profit, Mutual Benefit Corporation established in 1991.

The meeting was adjourned at 6:58 pm to go into Executive Session.
